Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between KLARED TECHNOLOGIES, S.L. ("Klared", "we", "us", or "our") and the individual or entity accessing or using our platform and services ("you" or "Customer").

By accessing or using Klared, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our services.

Klared provides a data intelligence platform designed for universities and research institutions, including tools for funding opportunity matching, alumni tracking, and institutional data management (the "Services").

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

To access the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@klared.com if you suspect unauthorised access.

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorised access to any part of the platform or its infrastructure.
• Reverse engineer, decompile, or otherwise attempt to extract the source code of the platform.
• Transmit any harmful, fraudulent, or misleading content through the Services.
• Resell or sublicense access to the Services without our prior written consent.

All intellectual property rights in the platform, software, and content provided by Klared remain the exclusive property of KLARED TECHNOLOGIES, S.L. These Terms do not grant you any ownership rights, only a limited, non-exclusive, non-transferable licence to use the Services during the term of your agreement.

You retain all rights to the data you provide to Klared. By submitting data to the platform, you grant us a licence to use it solely to deliver and improve the Services.

Pricing for the Services is as agreed in your order form or subscription agreement. All fees are non-refundable unless otherwise stated. We reserve the right to update pricing with 30 days' written notice.

Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. Where Klared processes personal data on your behalf, the parties will enter into a Data Processing Agreement as required by applicable law.

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Services will be uninterrupted, error-free, or completely secure. You use the Services at your own risk.

To the maximum extent permitted by law, KLARED TECHNOLOGIES, S.L. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Services. Our total aggregate liability shall not exceed the fees paid by you in the three months preceding the claim.

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases and we will handle your data in accordance with our Privacy Policy.

These Terms are governed by the laws of Spain. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Spain.

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 14 days before they take effect. Continued use of the Services after that date constitutes your acceptance of the updated Terms.
